Well, there're number of benefits to use GPLv3+ compared to v2 - I don't think I'd be able to explain them better than FSF already did.
As for GPLv2-only files - I'm working on it: see forwarded email below ;)
Btw, could you you point to those files explicitly? Is it only milenage left at this point or I've missed something else?

Why would the osmocom project want to do this at all?
It seems that there are advantages for the osmocom project to stay with v2+ for the files which already have v2+ as long as there are some files which are v2 only.

We're currently discussing transition from GPLv2 to GPLv3. I've found your code licensed under GPLv2 only in our project sources. Would it be possible to dual-license it under "GPLv3 or later" in addition to current GPLv2 license?
